TACH Carrier Referral Program – Terms & Conditions

The following Terms and Conditions ("Terms") govern the TACH Carrier Referral Program ("Referral Program") offered by TACH. By participating in the Referral Program, you agree to these Terms. This program allows eligible TACH members ("Referrers") to earn a referral bonus for referring new independent carriers ("Referred Carriers" or "Referred Members") to the TACH financial services platform. Please read these Terms carefully.

1. Program Overview

Referral Bonus: Eligible Referrers will receive a one-time cash bonus of $200 for each Qualified Referral (defined below) who meets all the criteria outlined in these Terms. The referral bonus is paid only to the Referrer; the Referred Carrier does not receive a referral reward under this program.

Ongoing Program: The Referral Program is an ongoing promotion with no fixed end date. TACH reserves the right to modify or terminate the program at any time, as described in Section 7 of these Terms.

2. Eligibility Requirements

Referrer Eligibility

To be an eligible Referrer, you must:

  • Be an existing TACH member (an independent carrier with a TACH account) in good standing. Your TACH account must be active (not suspended or closed) at the time the referral is made and when the referral bonus is paid.
  • Comply with all other requirements of these Terms (e.g., no prohibited solicitation methods as described in Section 6).

Referred Carrier Eligibility

A Referred Carrier (the person/business being referred) must meet all of the following criteria to be considered a Qualified Referral:

New to TACH: The Referred Carrier must be a new customer who has never previously applied for or opened a TACH account. They cannot be an existing TACH account holder or someone who was previously approved for a TACH account.

Successful Account Approval: The Referred Carrier must apply through the proper referral process (using the Referrer's unique link or code) and be approved for a TACH account. This means they must meet TACH's membership and account opening requirements (e.g. any business verification or compliance checks) and their account must be successfully opened.

Account Activation: The Referred Carrier's account must remain active and in good standing. If the account is closed, frozen, or in default status before the referral criteria are completed, the referral will not qualify.

Direct Deposit Setup: The Referred Carrier must set up direct deposit into their new TACH account and have that direct deposit capability verified. (This typically means providing TACH account/routing information to a payor and successfully receiving electronic deposits, as described below under "Qualifying Direct Deposits.")

Qualifying Direct Deposits: The Referred Carrier must receive at least three (3) qualifying direct deposits into their TACH account. These deposits must meet the conditions below to count:

  • Each qualifying deposit must be an ACH credit or other electronic payment from a third-party business source, such as a broker, shipper, or factoring company that is paying the carrier for services. In other words, it should represent legitimate business revenue for the carrier.
  • Deposits that do NOT count as qualifying direct deposits include, but are not limited to: transfers or deposits from any account owned by the Referrer or the Referred Carrier (or their business), transfers from personal bank accounts of the Referred Carrier, peer-to-peer or mobile payment transfers (e.g. Venmo, PayPal, Cash App, Zelle), or any cash/check deposits that are not initiated as an electronic direct deposit from a third-party client. TACH reserves the right, in its sole discretion, to determine whether a deposit is a "qualifying direct deposit" and to disqualify any that appear to be artificial, fraudulent, or not in line with the spirit of the program.

Timing: (If applicable) The above requirements (account approval, direct deposit setup, and three qualifying deposits) should be completed within a reasonable time after the account opening. TACH may determine a specific time frame for the Referred Carrier to meet these requirements (for example, within 60 or 90 days of account opening) and reserves the right to decline a referral bonus if the criteria are met only after an extended period. (Please refer to any promotional details or updates from TACH for a specified time frame, if any.)

Once all the above criteria are met, the Referred Carrier is deemed a "Qualified Referral." Each Qualified Referral will result in a referral bonus for the Referrer, as described below.

3. How to Refer New Carriers

To participate in the Referral Program, follow these steps:

Obtain Your Referral Link/Code: Each eligible Referrer will have access to a unique referral link or code. This may be found in your TACH account dashboard or provided by TACH. (In many cases, the referral code may be your TACH Carrier Member ID or a unique link containing that ID.)

Share with Your Contacts: You can share your referral link or code with other independent carriers/business owners who might benefit from TACH's services. You should only send your link to individuals with whom you have a personal or professional relationship (see No Spam in Section 6). You may share via direct communication channels such as personal email, text, or private messaging. (Mass advertising of your code is prohibited, as detailed in Section 6.)

Use of the Referral Link/Code: The Referred Carrier must use your specific referral link or code when they sign up for a TACH account in order for you to get credit. If the new user does not use the referral link or correctly enter your referral code at the time of application, the referral cannot be tracked and no bonus will be awarded. Referral credit cannot be applied retroactively.

One Referral per New Member: A new TACH applicant may only use one person's referral link/code. If a Referred Carrier receives multiple referral invitations, only one Referrer can earn a bonus for that person. The credit will generally be given to the Referrer whose link/code was actually used in the sign-up process.

Referral Confirmation: TACH will not reveal detailed personal information about the status of a referred application to the Referrer, but may provide general confirmation when a referral bonus has been earned. By participating in the program, both the Referrer and Referred Carrier understand that a referral relationship will become known to both parties once a bonus is paid (for example, the Referrer will know the Referred Carrier opened an account if the bonus is granted, and the Referred Carrier may infer that the Referrer received a bonus). This constitutes a limited one-time disclosure of the existence of the account relationship for the purposes of the referral program. (See also Privacy considerations in Section 6.)

4. Referral Bonus Payment

Bonus Amount: For each Qualified Referral, the Referrer will earn a $200 referral bonus. (If multiple Referrers claim the same referral, only one bonus will be paid, as noted above. No Referrer may receive more than one bonus per Referred Carrier.)

Payment Method: Referral bonuses will be paid in the form of a deposit or credit into the Referrer's TACH account (e.g., the TACH business checking account). No physical checks or other payment methods will be used. The bonus will appear as a credit labeled as "Referral Bonus" or similar in your transaction history.

Payment Timing: TACH will endeavor to credit the $200 bonus to the Referrer's TACH account within 14 business days after the Referred Carrier has met all the qualifying criteria (i.e., once the referral is confirmed as a Qualified Referral). In many cases, the bonus may be credited sooner. Please note that "business days" exclude weekends and federal holidays. If there is any delay, it may be due to verification of the qualifying activities; allow up to a total of 2–3 weeks from the date all conditions are satisfied for the bonus to post.

Notification: The Referrer may receive an email or notification from TACH once the bonus has been credited. The Referred Carrier will not receive any bonus from this program and typically will not receive any notification of a referral bonus (since it does not apply to them), though they may be informed that they were referred as part of the account signup flow.

No Substitutions: The referral bonus is not transferable and cannot be exchanged or substituted. TACH will not provide the bonus in any form other than a credit to the TACH account. If your TACH account is closed before the bonus is paid, you will forfeit the bonus.

5. Referral Limits and Caps

Annual Cap: A Referrer may earn a maximum of $10,000 in referral bonuses per calendar year under this program. This equates to 50 referrals at the $200 bonus each. If your referral bonuses reach $10,000 in a given year, you will not earn additional referral bonuses until the next calendar year. No person is entitled to earn more than $10,000 from TACH referral programs in any one year.

One Bonus per Referred Carrier: Each Referred Carrier can only generate one referral bonus. You cannot receive multiple referral bonuses for referring the same person/business multiple times or for the Referred Carrier opening multiple TACH accounts. Similarly, if two Referrers refer the same person, only one Referrer (determined by the first referral code used in the signup) will receive the bonus.

No Self-Referral: You are not permitted to refer yourself or your own business entities. Creating duplicate or fake accounts to self-refer or otherwise game the program is strictly prohibited and will result in disqualification (and possible account closure). The Referrer and Referred must be completely separate individuals/businesses with no overlapping ownership.

Referred Account Must Be Unique: The Referred Carrier must be truly new to TACH. If a referred individual or business already has a TACH account, had a prior account, or is in the process of applying independently, they will not be considered a Qualified Referral. Referrals cannot be claimed for someone who is already in TACH's system or on TACH's waitlist (unless explicitly allowed by TACH in a specific promotion).

No Combination with Other Offers: Unless explicitly stated by TACH, this Referral Program may not be combined with any other promotions or bonus offers. For example, if TACH at some point offers a separate sign-up bonus or promotion to new members, a Referrer will still receive their referral bonus (since the referrer's bonus is separate), but the Referred Carrier might not be eligible to stack multiple welcome bonuses. In any case, a Referred Carrier will only ever count toward one referral bonus under this program.

6. Prohibited Conduct and Disqualification

TACH is committed to running a fair referral program. We reserve the right to disqualify participants and withhold or revoke bonuses if we suspect any fraud or violation of these Terms. By participating, you agree to the following:

No Spam or Mass Solicitation: You must only send referral invitations to people with whom you have a direct personal or professional relationship (e.g., friends, family, colleagues, business network contacts). Mass distribution of your referral link or code, unsolicited bulk emails, robo-calls, spam messaging, or any form of posting your referral link publicly in a way that is akin to spam (for example, posting on public forums, coupon sites, or social media comments to strangers) is prohibited. You may not purchase ads or keywords, or use any "paid placement" to promote your referral code, and you may not falsely represent any affiliation with TACH when promoting the referral. Any referral obtained through prohibited or duplicitous means is void, and you may be disqualified from the program.

No Misrepresentation: Do not misrepresent your relationship with TACH or the nature of the Referral Program when communicating with potential referrals. You should not say you are an employee or agent of TACH if you are not, and you shouldn't make promises about TACH products that are misleading or untrue. You are simply a happy user sharing an opportunity.

No Manipulation or Fraud: Any attempt to manipulate the program, create fake accounts, refer fictitious individuals or businesses, or circumvent the intent of the program will result in disqualification. This includes attempts to deposit funds from non-qualifying sources just to trigger the bonus, or any coordinated schemes between Referrer and Referred to obtain bonuses without genuine use of the TACH platform. TACH monitors accounts and reserves the right to withhold referral bonuses or terminate accounts that exhibit fraudulent activity or abuse of the program.

Privacy and Data: To protect all parties' privacy, TACH will not share personal details of the Referred Carrier's application or account status with the Referrer (or vice versa). You should not request sensitive personal information from your referral, and you should not share any private account information as part of a referral. Both Referrers and Referred Carriers understand that by participating in the program, they are permitting a limited disclosure as mentioned in Section 3 (each party may become aware that the other has an account with TACH if a bonus is paid). Aside from that, TACH's Privacy Policy governs the use of personal data.

Right to Disqualify: TACH reserves the right to review and investigate all referral activities. We may disqualify any Referrer or Referred Carrier from participation (and deny or reclaim any referral bonuses) if we find or suspect, in our sole discretion, that the participant has violated these Terms or otherwise engaged in fraudulent or suspicious activity. Our decisions are final.

Clawback of Bonuses: In the event that a referral bonus is paid out and later determined to be ineligible (for example, if it was obtained through deceit or the Referred Carrier's account is closed/reversed for fraud), TACH reserves the right to cancel the bonus or debit the bonus amount from the Referrer's TACH account. This could occur even after the bonus was initially credited. (In such cases, TACH may contact the Referrer with an explanation, but reserves the right to remove the funds if Terms were breached.)

7. General Terms and Conditions

Independent Participants: Your participation in the Referral Program is as an independent individual/customer. These Terms do not create any agency, partnership, or employment relationship between you and TACH. You are not authorized to act on behalf of TACH, and you will not be compensated for referrals beyond the stated bonus. All taxes associated with receiving a referral bonus are your responsibility (see Tax section below).

Tax Implications: Referral bonuses are considered miscellaneous income to the recipient. Depending on the total value of bonuses and other rewards you receive, TACH may be required to report the value of the bonuses to tax authorities. If you receive $600 or more in referral bonuses from TACH in a calendar year, TACH may request that you complete an IRS Form W-9 (for U.S. persons) and TACH will issue an IRS Form 1099-MISC reporting the bonus as income. (Non-U.S. persons may be required to complete a Form W-8 and may receive a Form 1042-S if applicable.) It is your responsibility to consult your tax advisor about how any bonus you receive may affect your tax situation.

Referral Cap: As noted in Section 5, there is a $10,000 annual cap on referral earnings. TACH may also, at its discretion, limit the number of referral sign-ups or referral codes used if necessary to prevent abuse. Once you reach the cap, you will not earn additional bonuses until the next calendar year. TACH also reserves the right to cap the total number of referrals platform-wide or end the program if needed.

Changes to Terms: TACH reserves the right to modify these Terms or the Referral Program details at any time. This includes changing the bonus amount, qualifying requirements, or ending the program entirely. We will endeavor to notify participants of significant changes by updating the Terms on our website and/or through direct communications. It is your responsibility to review the Terms periodically. Continued participation in the program after any modifications constitutes acceptance of the new Terms.

Termination of Program: TACH may suspend or terminate the Referral Program at any time for any reason. If the program is terminated, no further referral bonuses will be earned after the termination date. However, TACH may, at its discretion, still honor pending referrals that were in progress (e.g., if a Referred Carrier had already met all qualifications before termination, TACH might still pay the bonus). All decisions regarding the cessation of the program and payout of any pending bonuses will be made by TACH.

No Waiver: TACH's failure to enforce any provision of these Terms in a particular instance shall not constitute a waiver of that provision or of the Terms as a whole.

Severability: If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will remain in full effect.

Conflict or Ambiguity: In the event of any ambiguity or discrepancy in communications about the Referral Program, these official Terms & Conditions will prevail. (For example, if any marketing material or FAQ is interpreted differently from these Terms, the language in these Terms governs.) Additionally, if TACH ever offers a specific promotional referral campaign with additional terms, and those terms conflict with these general Terms, these Terms will apply unless the promotion-specific terms explicitly state an exception.

Governing Law: These Terms and the Referral Program are subject to the laws and regulations of the jurisdiction in which TACH operates (e.g., the United States and the specific state applicable to TACH's headquarters, unless otherwise specified). Any disputes arising from or relating to this program will be handled according to the governing law and dispute resolution provisions in your main TACH account agreement or TACH's standard Terms of Service.

Entire Agreement: These Referral Program Terms constitute the entire agreement between you and TACH with regard to the Referral Program and supersede any prior or contemporaneous communications regarding the program. They do not alter any other agreements you have with TACH (for example, your account agreement), which remain in effect.
